What BCG disclosed
Boston Consulting Group noted in its latest UK LLP accounts that HMRC has opened an inquiry into the firm's partner compensation practices. The focus is on how BCG pays its so-called salaried members.
In those accounts, BCG said an unfavorable decision could mean a "material impact" on its financial statements. The firm added that external lawyers have backed its view of the matter and indicated it is unlikely the firm would need to make a payment to resolve it. The Financial Times broke the news of the investigation.
Why HMRC is looking harder now
Tax authorities have been ramping up reviews of set-ups that might slip around employment taxes after winning a court case earlier this year. That push accelerated following a July ruling against hedge fund BlueCrest.
In that ruling, the UK Supreme Court concluded that many BlueCrest partners were in substance paid a "disguised salary" rather than a profit share and ought to be classified as employees, in part since their ability to sway the company's decisions was constrained.

How the industry pays and the tax angle
Professional services firms often include salaried or non-equity partners who lack a full entitlement to the firm's profits, and many UK businesses in this sector are structured as limited liability partnerships. These remuneration approaches may deliver tax advantages, such as sidestepping the national insurance contributions that regular employees must pay on earnings.
BCG said in an emailed statement: "We comply with all of our global and local tax obligations wherever we operate," and added, "As set out in our latest UK LLP accounts we are currently in discussion with HMRC and will not be commenting further while those discussions are ongoing."
What it means for investors
For investors watching professional services and asset-light business models, the takeaway is simple: HMRC's post-BlueCrest posture raises the bar on partner pay structures, and BCG has flagged the possibility of a "material impact" if the ruling goes against it.
