Justice Department Seeks More Details on Fox's Roku Deal

Deal Basics

Fox's planned acquisition of Roku is the first major buy under CEO Lachlan Murdoch since he won the succession fight at the company. The strategy centers on streaming: by tapping Roku's platform, Fox would reach upwards of 100 million households, even as its legacy pay-TV operation keeps shrinking. If completed, Fox wouldn't just make shows and sports - it would also run a major streaming distribution gateway. The companies also plan to fold their free, ad-supported streaming units together by pairing Fox's Tubi with The Roku Channel.

Regulatory Review

On Sept. 8, both companies received a second request from the Justice Department/) for more information and documents, Fox said. Fox characterized that step as expected in a large transaction. Still, a deeper probe can stretch the review by months or even years, depending on the deal's complexity, and it signals regulators are weighing how the tie-up might influence consumers' ability to access streaming content.

Market Position and Strategy

Fox expects to close the $22 billion merger in the first half of 2027. Together, Fox and Roku would slot in as the No. 3 player in US TV by viewing share, combining Fox's sports, news and entertainment networks with a unified free, ad-supported streaming lineup from Tubi and The Roku Channel.
