What the deal looks like
Marvell announced plans to acquire Lumentum, a maker of optical components, in a no-cash, share-for-share deal whose ultimate value will move with Marvell's stock price. Per the terms, each Lumentum holder gets 4.5 Marvell shares for every Lumentum share owned.
The deal is expected to be completed in the first half of 2028. The move ranks among 2026's largest AI wagers, arriving even as questions linger about how long infrastructure spending can keep accelerating.
Why Marvell is doing this
The company framed the purchase as a way to meet fast-rising connectivity demands from the buildout of artificial intelligence infrastructure. It said combining its electrical and optical technologies should better address shifting AI networking needs across systems and regions, as more firms use optical links to stitch together the chips that train and run large language models.
"AI infrastructure is undergoing a fundamental architectural shift toward optical connectivity, creating an opportunity that comes along once in a generation," said Marvell Chairman and CEO Matt Murphy. "The companies that move first and help define this transition will set the standard for decades to come."

Context and what it means for your portfolio
Marvell said the exchange ratio implies Lumentum is valued at $115 billion on an enterprise basis. It is not Marvell's first AI push this year; the company also closed a multibillion-dollar purchase of Celestial AI, which focuses on optical interconnect technology. Over the past three years, Marvell's market value has more than tripled, while Lumentum's shares have more than doubled in 2026. Pre-market trading after the announcement saw Marvell down 3% and Lumentum off about 4%.
