What AMC said and why Robinhood is answering now
AMC chief Adam Aron called out Robinhood's move into tokenized stocks, including tokens linked to AMC. His complaint is straightforward: tokenization lets a brokerage offer exposure to AMC shares without AMC being part of the process, which he said undercuts the standard relationship companies have with their shareholders.
Tenev's case on Squawk Box
On Wednesday, Vlad Tenev described Robinhood's tokenization push as a neutral wrapper built around stocks that already trade on public markets. He contended that after a stock lists on public markets, what the holder possesses is an asset that can be transferred, and that third‑party finance companies ought to be free to design instruments linked to those shares without seeking permission from the issuer.
How the tokens work and what owners get
Tokenization converts items such as exchange‑listed securities, physical‑world assets, and other value into digital tokens written to a blockchain. Holders of these tokens do not directly own the assets themselves. Tenev said Robinhood's stock tokens are structured as debt securities secured by the underlying shares, and they do not provide voting rights in the company that issued the stock. When asked whether Robinhood would vote the underlying shares, he said the company "hasn't really announced plans for the voting aspect of that."

Why it matters for your money
Owning a token tied to a stock is not the same as owning the stock outright. Per Tenev, these are debt instruments backed by shares and they do not include voting rights, and Robinhood has not said how it will handle the votes attached to the underlying shares. AMC's pushback highlights the tension here: more ways to mirror stock exposure can change how companies and investors interact, even if the price exposure looks familiar.
