RBI's IPO ruling jolts Tata Sons, putting Noel Tata on the back foot

Noel has resisted the idea of listing Tata Sons. Those close to the situation say he believes going public would reshape how the Trusts control Tata Sons and its leadership, while also inviting tighter regulatory supervision and more scrutiny from investors into the group's inner workings.

Inside Tata's debate

The menu of workarounds under review, the people said, includes trimming Tata Sons's assets below the level that triggers a mandatory IPO or even carving the company into two. Directors are slated to consider these options during a high-stakes Tata Sons board session on Thursday. Reflecting the turmoil after the RBI move, some directors may even suggest that Natarajan Chandrasekaran remain as chairman beyond his term that ends in February to keep things steady. The Economic Times flagged that scenario earlier on Sunday.

Chandra said last month he plans to leave in February after months of tension with Noel over the listing question and how capital is allocated across the group. Representatives for Tata Sons and Tata Trusts did not immediately respond to requests for comment outside regular business hours.

How fast could an IPO happen

A team of 15 in Chandrasekaran's office started laying groundwork for a potential listing in May after an RBI circular rekindled pressure to go public, the people said. If that work is far enough along, they added, Chandra may tell the board Tata Sons could be ready to list by February.

This clash arrives as Noel's leadership is still being tested. He took over as chairman of Tata Trusts in 2024 following the death of his half-brother Ratan Tata. Any instability tied to a listing could ripple into big, politically sensitive projects the group is leading, including India's push into semiconductor manufacturing and the revival of national carrier Air India. The 158-year-old conglomerate already touches everything from salt and software to luxury sedans.

"This is absolutely one of Noel Tata's biggest challenges," said Abizer Diwanji, founder at NeoStrat Advisors LLP, noting that the group's sweeping control over its companies has never really been in doubt. "People have challenged maybe leaderships, but not the Tatas' control overall."

Who could benefit and what to watch next

A public Tata Sons is cheered by many who want more transparency at India's oldest business house. It would also be a major positive for the Shapoorji Pallonji Group, which has sought for years to cash in its illiquid 18.4% stake to pay down expensive borrowings. Cerberus Capital Management LP, Davidson Kempner Capital Management, and Farallon Capital Management are among the creditors holding SP Group debt.

"There would be greater accountability and greater transparency, and also better value unlocking" for the broader group.
