Deal basics and timeline
Moneris Solutions Corp. is lining up $660 million in loans to back Francisco Partners' acquisition valued at C$2 billion from Royal Bank of Canada and Bank of Montreal, roughly $1.4 billion in U.S. dollars. Pricing was expected this afternoon, coming three days after the initial target, following talks between investors, the company, and Goldman Sachs Group Inc.
The term loan runs seven years and is anticipated to come at 4.75 percentage points over SOFR, alongside an original issue price of 98 cents on the dollar. Moneris had proposed rate cuts tied to lower leverage, but those breakpoints were stripped out in the final pass.
What lenders won
Creditors pressed for protections that curb shifting valuable assets away from lenders, resulting in so-called Pluralsight and Xerox clauses. Moneris also agreed to hold quarterly update calls and to tighter limits on cash it can send upstream as dividends to its owner.
A Goldman Sachs representative said the firm had no comment. Emails seeking comment from representatives of Francisco Partners and Moneris went unanswered.

Market backdrop and a comparable deal
Investors are asking highly leveraged borrowers for bigger givebacks as worries about inflation and how durable the artificial intelligence boom will be weigh on the outlook. Bloomberg data show at least seven US leveraged loan deals had to improve terms last month, the highest count since October 2025. A key theme is protection from liability management maneuvers that can sideline existing lenders.
A fresh example: Autokiniton US Holdings Inc. sweetened a $1.05 billion amend-and-extend this week on its 2028 term loan by trimming the requested extension to 2030, offering a larger 97.5 cents-on-the-dollar entry price, and increasing lender safeguards.
Other pieces of the financing and why it matters
Alongside the US loan, the acquisition package includes a privately placed term loan denominated in Canadian dollars equal to $250 million. Together, the changes show lenders are pricing risk more tightly and insisting on stronger documentation.
The bottom line: monitor the final pricing, the quarterly updates Moneris agreed to provide, and any movement on the Canadian dollar tranche if your portfolio touches this credit.
