Enhanced Group takes control of DEAG to double down on live events

Published Nov 5, 2026
Share:
Summary:
  • Enhanced Group Inc. secured a 77% stake in DEAG Deutsche Entertainment AG through new share issuance, calling it a first step toward combining the businesses.
  • Terms: one Enhanced share for about 1.7 DEAG shares, all stock, priced at $8 per share - roughly a 13% premium to Enhanced's Wednesday close.
  • For next year, the combined firm projects revenue of $670 million and adjusted EBITDA of $26 million.

The deal and how it is structured

Enhanced said Thursday it obtained 77% of DEAG by issuing new stock to participating shareholders, confirming an earlier Bloomberg News report. The swap offers one Enhanced share for approximately 1.7 DEAG shares, with no cash component. The issuance price is $8 per share, about a 13% premium to Enhanced Group's closing price on Wednesday. The company described the move as a first step toward bringing the two under the same umbrella.

Who is already in the driver's seat

German entrepreneur Christian Angermayer already held controlling stakes in both companies before this transaction. Roughly five years ago, Angermayer led a consortium alongside crypto billionaire Mike Novogratz that sought to purchase DEAG's minority shareholders and later took the company off the Frankfurt bourse.

The strategic case and projections

Enhanced runs a sports competition that permits performance-enhancing drugs and also sells proprietary supplements and telehealth services. The company says combining with DEAG is a wager that spending on in-person sports and live entertainment will climb over time and hold up better against the pressures hitting other sectors from AI. As Enhanced put it, it sees the flip side of AI as more free time, which it believes people will choose to spend on real world, shared experiences. Looking ahead to next year, the combined entity is aiming for revenue of $670 million and adjusted EBITDA of $26 million.

What else to know for your portfolio

Enhanced went public in May by merging with the special purpose acquisition vehicle A Paradise Acquisition Corp. In the weeks that followed that same month, its shares fell after its debut sports entertainment event in Las Vegas underwhelmed, with only one world record set. The bottom line: this tie-up pushes toward experiences over screens, pairing DEAG's live events scale with a high profile but still-volatile sports brand, and gives investors exposure to a larger revenue base alongside integration risk.

Learning how to use AI thoughtfully can give investors a subtle, lasting edge. On 11/17, our CEO Jaspreet Singh goes live for our first ever investor livestream on how to use ChatGPT and Claude to invest like a pro. Register to join him.
