Enhanced Group takes control of DEAG in stock-for-stock deal

Published Nov 5, 2026
Share:
Summary:
  • Enhanced Group Inc. said Thursday it secured a 77% stake in DEAG Deutsche Entertainment AG by issuing new shares, calling it a first step.
  • Terms: participating DEAG holders will receive one Enhanced share for roughly 1.7 DEAG shares, with Enhanced issuing at 8 dollars per share, about 13% above Wednesday's close.
  • Next year, the merged business is slated to deliver 670 million dollars in revenue and 26 million dollars in adjusted EBITDA.

What happened

Enhanced Group, which runs a sports competition that permits performance-enhancing drugs, is taking control of Germany's DEAG in an all-stock move. The company said it acquired about 77% of DEAG by issuing new shares to participating holders, with no cash involved, and described the stake as a first step that had been flagged earlier by Bloomberg News.

German entrepreneur Christian Angermayer already held controlling positions in both businesses. Beyond events, Enhanced also sells proprietary supplements and offers telehealth to consumers.

How the deal works

DEAG shareholders who opt in will exchange approximately 1.7 DEAG shares for each Enhanced share. The new shares are being issued at 8 dollars apiece, which the company said is roughly a 13% premium to Wednesday's close.

The combined entity is projected to generate 670 million dollars in revenue and 26 million dollars in adjusted EBITDA next year.

Big strategic deals show that thoughtful insight can help investors stay ahead. We're hosting our first ever investor livestream on 11/17 to show you how to use ChatGPT and Claude to invest like a pro, hosted by Briefs Finance CEO Jaspreet Singh. Save your seat.

Why Enhanced is doing this and what it means for your portfolio

The strategy is to lean into spending on live sports and entertainment and away from areas more exposed to AI-related pressure. Or as the company put it, "Enhanced believes this step positions it well for what it sees as the flip side of AI: as technology gives people more time back, Enhanced believes they will increasingly choose to spend it on real-world, shared experiences."

For context, Enhanced went public in May by merging with the blank-check vehicle A Paradise Acquisition Corp, and later that month its shares plunged after its first sports-entertainment event in Las Vegas produced only one world record. As for DEAG, roughly five years ago, Angermayer teamed up with crypto billionaire Mike Novogratz to front a group that offered to purchase the minority holders, and the company was subsequently removed from trading on the Frankfurt exchange.

The bottom line for investors

Enhanced is stitching together real-world entertainment assets in anticipation of more demand for in-person experiences. If the expected revenue and EBITDA materialize next year, the platform will have scale across sports-entertainment and live events, with execution after a rocky debut still the key variable to watch.

Modern tools like AI can help investors gain clearer perspectives on opportunity. On 11/17, our CEO Jaspreet Singh goes live for our first ever investor livestream on how to use ChatGPT and Claude to invest like a pro. Register to join him.
