Deal Snapshot
Meta boosted its common equity sale to $25 billion, setting the price at $625 a share, which was 2.7% below Friday's close before the deal was revealed. The equity raise sits within a broader plan that includes $12.5 billion in mandatory convertible preferred shares plus an expected at-the-market share program. At a targeted $98 billion, the package would rank among the largest equity financings ever.
Who Got the Shares
Interest ran hot. People familiar with the transaction said orders came in for roughly five times the available common shares, while the mandatory convertible preferred stock was also multiple times oversubscribed. More than half of the common shares went to long-only managers and current Meta holders, and the 15 biggest buyers together accounted for about 70% of the allocation.
What Meta Says It Will Fund
The company has committed to put the new capital into AI infrastructure and personal superintelligence. The company has unveiled a personal AI agent named Muse, plus an AI model called Muse Wonder that company leaders claim matches the capabilities of OpenAI's ChatGPT and Anthropic PBC's Claude for jobs like coding. Meta's spokesperson didn't provide a comment right away when asked.

Market Reaction and Investor Take
The stock eased as much as 1.4% to $621.47 on Tuesday, a modest dip alongside the discount pricing. In plain English: a bigger equity float and the mandatory convertible preferred offering add supply, while the size of the plan underscores Meta's ambition to fund AI buildout at scale. Morgan Stanley and Goldman Sachs Group Inc. worked on Meta's offering.
