The deal on the table
Bending Spoons is marketing two pieces at once: a $1 billion slice of five-year senior secured notes with price talk in the low 10s, plus a euro-denominated portion sized at about $500 million equivalent with indications in the low 9s. A person familiar with the transaction provided the terms being floated to investors.
The company is targeting a BB- expected rating, which sits on the sturdier side of speculative grade.
Credit picture and market backdrop
Pricing for the euro notes is being discussed near 9%, a pickup versus 7.8% on Bloomberg's Pan-European High Yield Index, compensating buyers for backing Bending Spoons' tech-focused investment model. The sale also arrives as leveraged finance buyers grow choosier, while rising global rates, higher energy costs, and AI-related risks have pushed up European high-yield borrowing costs.
Strategy and what to watch
The firm has grown by buying established software outfits and revamping operations to lift margins, with a focus on subscription app businesses and a mix of portfolio cash and leverage to fund more deals. In its portfolio today are AOL, Vimeo, Evernote, WeTransfer, Eventbrite, and Airtable.
CEO Luca Ferrari said this month that falling software valuations are opening the door to more acquisitions, as worries that AI could replace some software services have pressured the sector. Bending Spoon shares have jumped 61% since trading began in July following its IPO. The company did not immediately respond to a request for comment.

Why it matters for your portfolio
In plain English: investors are being asked to fund an acquire-and-improve playbook at coupons that sit above the broader euro high-yield benchmark. The test is whether that extra yield is enough, given tighter risk appetites and a pricier funding backdrop. If you track higher-yield paper tied to tech roll-ups, this one is a live signal on where that market will clear next.
