What happened
Emeria's largest lenders have inked NDAs that bar them from buying or selling the company's debt, a sign negotiations are getting serious. Creditors are reviewing a proposal from owners Partners Group and TA Associates that targets near-term maturities and softer earnings, said people familiar with the talks who requested anonymity. That kind of information access usually suggests a restructuring plan is taking shape.
The rescue plan on the table
The sponsors are discussing around €350 million in fresh funding to bring down net debt, an increase from the roughly €200 million they weighed earlier this year. One person said a slice of Emeria's existing €3.6 billion in liabilities may be transferred to a holding company, which would reduce the debt reported at the operating company. That transfer would include a slice of the secured borrowings, with the remainder staying at the operating level, and it is designed to reduce the operating company's load without partially writing down secured claims.
Outstanding issues and timing
Creditors want Emeria's UK arm pledged as part of their collateral. The contours of the deal could still change as discussions continue. Partners Group, via a spokesperson, declined to offer any comment. Immediate responses to requests for comment were not received from TA Associates or Emeria.
Why investors should watch
Profitability has been pressured by macro headwinds, last year's disposals of certain businesses, and client losses. The company posted a €108 million loss in the first half of 2026, almost twice the level a year earlier. Maturities are creeping closer too, with some liabilities due in 2027 and an about €2 billion secured term loan coming due in 2028, per Bloomberg data.
