DOJ seeks more details on Fox's Roku purchase

What happened

Fox said the DOJ sent what is known as a second request for documents and data to both companies on Sept. 8, and it revealed that step in a Wednesday filing. Deeper antitrust reviews like this can stretch timelines by months or even years, depending on how complex the deal is.

The deal in brief

Unveiled in June, the plan to buy Roku is valued at $22 billion and is Lachlan Murdoch's first significant acquisition since he prevailed in Fox's leadership succession fight. Fox said the combination would enable the company to tap households exceeding 100 million that rely on Roku's streaming platform, at a moment when its legacy pay TV business is under pressure. The company also noted that a second request is common in large mergers and that it had anticipated one.

Regulators may be probing how the tie-up could affect consumer access to streaming content. If approved, Fox said the deal would turn it into both a streaming distributor and a content company. Together, the businesses would be the third-largest player in the U.S. TV market by share of viewing, spanning Fox's sports, news and entertainment networks and bringing together free, ad-supported services Tubi and the Roku Channel.
