Gold Fields courted Northern Star, but Australia's biggest gold miner pushed back

What happened

South Africa's Gold Fields has explored a deal for Northern Star, according to people who asked not to be named because the matter is private. Those people say Gold Fields recently reached out about a transaction and was rebuffed, and is now considering what to do next.

Gold Fields declined to comment. Northern Star did not immediately respond to requests sent outside normal business hours.

Why now in gold

A prolonged climb in gold prices has kicked off a deal spree across the sector, and Gold Fields has been near the front of the pack. Over the past two years, takeovers involving Gold Road Resources Ltd. and Osisko Mining Inc. have expanded its global presence and left it with full operational control of assets across Africa, Australia and the Americas.

Richer bullion has also put pressure on producers to squeeze more from their portfolios. After several years marked by cost overruns and operational hiccups, many miners are weighing spinoffs and asset sales to sharpen returns.

Northern Star's backdrop

Amid an intensifying campaign by Elliott Investment Management, Northern Star, based in a Perth suburb, appointed a new CEO in July. This year, the activist investor criticized the company's underperformance and urged leadership to evaluate a sale or disposals, while also pressing for board changes.

In June, Chairman Michael Chaney told shareholders that although the company had received several inquiries about possible tie-ups over the past year, he believed a sale should be deferred. Northern Star has repeatedly reduced its production guidance over the past year because bottlenecks in Western Australia at the Kalgoorlie processing plant have cut output and hurt performance relative to peers.
