SEC Proposes Bigger Cash Cushion for Brokerage Firms

The last time the Philippines set its minimum capital rule for stock brokers, the internet was still mostly dial-up. That was 25 years ago, and the country's securities watchdog thinks it is time for an update.

A Quarter-Century-Old Rule Gets a Fresh Look

The Philippine SEC is looking to raise the minimum capital for stockbrokers to exceed 100 million pesos, roughly $1.6 million. Numerous brokerage firms remain thinly capitalized, with a few having only 30 million pesos, SEC Chairman Francis Lim said.

That gap matters because capital is what lets a broker survive a bad stretch and pay for the stuff that keeps the market honest. Lim put it plainly: "We found out that those that misbehaved had small capital."

The chairman also pushed back on the idea that a broker's job stops at executing trades. "To be a broker is more than just buying and selling," he said. "It requires capital to do investor education, to comply with regulatory requirements."

In other words, the SEC wants brokers to be more than order-takers. It wants them to be properly funded partners in growing the market.

Reforms Are Moving Fast, and Not Everyone Is Happy

This capital proposal is just one piece of a bigger reform push under Lim, a former Philippine Stock Exchange president who was appointed by President Ferdinand Marcos Jr. last year. He has moved quickly, and the changes are already showing up in the market.

Under Lim's leadership, the SEC has enacted regulations that set the stage for the forthcoming stock debuts of Mynt Inc., which owns the popular mobile wallet GCash, and PLDT Inc.'s data center business through a real estate investment trust. Those are first-time stock sales that give everyday investors a chance to own a piece of familiar brands.

The regulator has also gotten tougher on bad behavior. The SEC has additionally lodged a criminal case against Villar Land Holdings Corp., owned by billionaire Manuel Villar, and its executives over accusations of market manipulation, insider trading, and false disclosures. The Villar family denied any wrongdoing.

Not every move has gone smoothly. A legal dispute has cropped up over the SEC's term limits for Philippine Stock Exchange broker directors, which shows that shaking up a decades-old system comes with friction. Lim seems ready for that. "When we do things, we do them carefully, so that if we're sued, we have a defense."

What This Means for Your Money

Lim's next priority is boosting market liquidity, the ease of buying and selling stocks without moving the price, including market-making reforms. He gave no timeline for the capital requirement change, saying only, "We still have to study."

The bigger picture is that the Philippines has lagged behind its regional peers when it comes to market size and investor participation. The SEC sees stronger brokers as a way to close that gap. "I don't want any entitlement in this capital market, everybody has to contribute," Lim said.

For investors, the takeaway is straightforward. A broker with a thin cushion is a risk you do not get paid to take. If the SEC follows through, the firms left standing should have the resources to serve clients properly and the staying power to weather rough markets. That is the kind of change that builds trust over time, and trust is what gets more people comfortable putting their money to work in the first place.
