SpaceX to Post First Earnings Report, Insider Share Sale Window Opens

SpaceX finally gave investors a date to circle on their calendars. The company said it will release its first earnings report on Aug. 4, 2026. That matters because it unlocks the first opportunity for early investors and company insiders to sell some of their stock.

Here is how the math works. Under the lock-up rules, 20% of the shares that have been frozen since the IPO become eligible for sale on the second full trading day after earnings, which falls on Aug. 6. That is a lot of potential supply hitting the market - up to 911.5 million shares could be sold in that single unlock event. The phased release is designed to avoid a sudden flood of shares and wild price swings.

There is even a bonus unlock. If the stock's closing price is at least 30% higher than the $135 IPO price on five of the ten trading days before earnings, then another 10% of shares would also become eligible for sale.

Lock-Up Mechanics Explained

The phased unlocking structure is designed to mitigate the risk of a massive sell-off that could depress the stock price. By tying an additional unlock to a price target, SpaceX incentivizes a stable or rising valuation before insiders can cash out. This mechanism is common in high-profile IPOs to avoid a repeat of the post-IPO volatility seen in many tech stocks. However, with a third of the float already shorted and the stock down sharply, the upcoming earnings report could be a pivotal moment for both bulls and bears.

The Stock Is Down, and Short Sellers Are Circling

Shares of SPCX had a rough stretch before the earnings news. The stock hit an all-time intraday high of $225.64 on June 16, 2026, and had an all-time closing high of $211.39 on that same day. As of the Monday before the announcement, the stock had lost almost half its peak value from the intraday high and was down 43% from the all-time closing high.

That kind of slide attracts short sellers. In recent weeks, about one-third of the public float had been sold short. That is a significant figure for a stock whose publicly traded float is quite limited.

Elon Musk, SpaceX's founder and CEO, has a warning for those bears. He said, "The survival probability of firms who maintain a significant short position in SpaceX over time is very low." His personal net worth reached over $1 trillion on June 12, but stood around $786 billion on the Monday before the announcement, according to Forbes' Real-Time Billionaires Index.

What Investors Are Watching Next

The earnings report is not the only big event on the horizon. SpaceX intends to send its enormous Starship into orbit on Thursday, after the launch was aborted last week because of an engine ignition failure. Musk said, "Some of the engines didn't start, triggering an automatic launch abort."

Starship is more than just a flashy rocket. It is critical for scaling the Starlink satellite internet service and for NASA's Artemis program, which aims to return astronauts to the lunar surface in 2028.

Tesla will announce its quarterly results on Wednesday after markets close. Institutional shareholders have sent queries to Tesla executives in advance through the Say Technologies platform. For issues tied to SpaceX, Tesla shareholders are asking about collaboration on the Terafab, a chip manufacturing facility that Musk intends to develop in Grimes County, Texas.
