What happened
Zambia's ZCCM Investments Holdings Plc sent a formal notice to Delta Mining Ltd., a unit of Abu Dhabi's International Resources Holding, outlining alleged shortfalls tied to the early 2024 deal that handed operational control of Mopani Copper Mines to the Emirati group. Delta holds 51% of the Mopani venture alongside ZCCM-IH. The letter from CEO Kakenenwa Muyangwa signals fraying ties since IRH's first foray into mining, a headline transaction that promised fresh capital to revive Mopani and support Zambia's push to more than triple national copper output.
The allegations and the numbers
The letter describes "pervasive and sustained" breaches of agreements that ZCCM-IH says have imposed extra costs and cut Mopani's revenue. It points to financing lapses such as failing to inject the agreed equity and tapping pricey borrowings from affiliates and outside lenders without approval. By the end of March, Delta had deployed 20% of the project development budget, or $62.3 million out of $308.1 million, and hired contractors the state firm says lacked the necessary qualifications.
Operationally, performance lagged the business plan, with copper cathode production last year coming in more than 50% lower. For 2025, Muyangwa wrote that Delta's contributions to Mopani were $61 million short of the minimum, and ZCCM-IH "is not aware" of any transfers toward this year's $140 million funding commitment. He requested a consultation meeting and reserved the right to seek damages and start arbitration if needed, while stating the "preferred outcome remains an amicable resolution."

Who's in control and what's at stake
In Zambia's Copperbelt, Mopani runs two locations that house underground shafts as well as a smelter and a refinery. Output in June was a bit above 5,000 tons of copper cathode. IRH officials have said they want to scale production quickly to 300,000 tons a year by 2029, which would make Mopani a heavyweight supplier in a market where new mine supply looks tight and demand is expected to climb.
Under the Mopani agreement, IRH was obligated to make $620 million in staged payments and to provide shareholder loans that helped settle amounts due to former owner Glencore Plc. When the takeover closed, Glencore received more than $400 million. The Swiss trader ran Mopani until 2021, when ZCCM-IH took over the loss-making assets for $1 upfront.
How both sides are positioning
IRH said Delta and IRH "maintain a strong and constructive relationship" with ZCCM-IH, adding that in a large partnership there can be issues on either side that need further discussion, and that it is handling matters "constructively" through routine shareholder engagement. ZCCM-IH and Mopani representatives did not respond to requests for comment. A person familiar with the situation said the state firm did not want the details aired publicly and preferred to sort them out privately. Zambia's President Hakainde Hichilema said he met IRH CEO Ali Rashed Alrashdi in Abu Dhabi on Monday.
