Nscale, which builds AI-focused data centers and counts Nvidia and Microsoft among its partners, said Friday it secured $3.36 billion in pre-IPO financing through convertible loan notes, confirming an earlier Bloomberg News report. Third Point led the round, joined by Nvidia, Apollo, Citadel, Hudson Bay Capital, Abu Dhabi Investment Council, and 8090 Industries. Goldman Sachs Group Inc. served as the placement agent.
How the convert is structured
Per the filing, one portion totals $2.36 billion, with Nvidia committing another $1 billion slated to fund in mid-November. The notes convert into ordinary shares when the IPO is completed, with Nvidia's notes eligible to convert into non-voting shares. Some terms appear in the IPO filing.
People familiar with the deal said pricing tracks the eventual IPO price, reduced by a discount in the double-digit percentage range. That markdown applies up to a $30 billion valuation, and above that threshold the conversion price does not change.

IPO track and who is steering it
The deal closed about a week after Nscale filed for an initial public offering that could raise up to $3 billion, according to people familiar with the matter. Goldman Sachs, JPMorgan Chase & Co., and Morgan Stanley head the underwriting syndicate, joined by 19 additional banks on the deal. Trading is planned for the New York Stock Exchange with the ticker NSCL. On governance, the board includes Sheryl Sandberg and Nick Clegg, both alumni of Meta Platforms Inc.; Clegg was the UK's deputy prime minister in the past.
