What started this
Cineplex said this week it brought in Goldman Sachs and TD Securities to explore strategic options that could include a sale. The company, Canada's largest theater operator, is also in a leadership handoff: longtime CEO Ellis Jacob has been succeeded by Bill Walker, with Jacob remaining in an advisory capacity to the board. In April, Bloomberg reported Jacob had been sounding out potential buyers, including Cineworld Group and Cinemark Holdings Inc., to see if they might be interested.
Where bids might land
Back in 2019, Cineplex agreed to an all-cash takeover at C$34 a share from Cineworld, a deal that later collapsed amid deep pandemic losses. In a client note, National Bank of Canada analyst Adam Shine said any initial offer is "possibly at a level or within a range that is half of the price finally offered by Cineworld." He added that a higher outcome is possible if "bid tension ensues," and that a proposal could feature "both cash and stock this time around."
The backdrop for theaters
Shine framed the recovery arc for exhibitors this way: the industry was in "survival mode 2020-2022," then dealing with "the after-effects of the Hollywood strikes 2023-2024." He noted that "While 2025 still didn't have a full slate of film releases, 2026 finally delivered more optimal volume."
