The listing and the money
Newcleo, a Franco-Italian builder of lead-cooled reactors, plans to hit Nasdaq on Tuesday using the ticker NWCL. The listing comes through a merger with NewHold Investment Corp. III, the blank-check vehicle, giving the combined entity a pre-money value of about $2.4 billion.
Chief Executive Officer Stefano Buono said gross proceeds should total roughly $247 million, with $216 million via a PIPE and $31 million coming out of NewHold's trust. A forward purchase agreement could add up to $75 million, and Newcleo has raised another $20 million since announcing the combination. "Being a private European company makes it harder to access the American market, so the visibility will also help us accelerate our expansion in the US," Buono said.
U.S. rollout and timelines
Founded in 2021, Newcleo is developing 200-megawatt, lead-cooled fast reactors that run on recycled nuclear fuel. As it scales stateside, the firm has the Savannah River complex in South Carolina under evaluation as the location for its first U.S. reactor and a companion fuel-fabrication facility. Buono's timeline: first U.S. fuel by the end of 2031 and a reactor start by the end of 2032.
The company is already in a pre-licensing dialogue with U.S. regulators, with formal licensing expected to begin after a site is secured. Over the long term, Buono expects the U.S. to account for about one third of Newcleo's activity, drawing on demand from data centers, industrial clients, and civilian maritime applications, and through partnerships involving Fincantieri SpA, the Italian shipbuilding and defense company.
