CoreWeave outlined a $3 billion convertible note sale, with an option for initial purchasers to take another $500 million. How the fundraising is structured
Alongside the notes, CoreWeave authorized an at-the-market share sale covering up to 35 million shares. At Wednesday's close, that capacity would translate to roughly $2.92 billion, though any actual stock sales will depend on market conditions. Deutsche Bank, Goldman Sachs, J.P. Morgan and others are running the ATM, which CoreWeave says supports its push toward an investment-grade credit profile.
Demand signals and backlog
CoreWeave said that in the third quarter it signed short-term deals for compute capacity at an annualized rate of roughly $40 million per megawatt. Its contracted power capacity increased to about 4.2 gigawatts, compared with 3.7 gigawatts as of the end of June.
